1. ACCEPTANCE OF TERMS By applying for a wholesale account or placing an order with KanDy Coast ("we," "us," or "our"), you ("the Buyer" or "Retailer") agree to be bound by these Terms of Service. These terms apply specifically to business-to-business (B2B) transactions.

2. WHOLESALE ACCOUNT ELIGIBILITY KanDy Coast is a wholesale-only supplier. To purchase from us, you must:

• Be a valid retail business (brick-and-mortar or independent e-commerce).

• Possess a valid Resale Certificate or Business License as required by your state or country.

• Agree that all purchases are for resale purposes only, not for personal use. We reserve the right to deny or terminate any account that fails to provide valid business documentation.

3. MINIMUM ORDER REQUIREMENTS We may enforce a Minimum Order Quantity (MOQ) or Minimum Order Value (MOV) on specific products or total orders. These minimums will be clearly displayed on the website. Orders failing to meet these minimums may be canceled or held until the minimum is met.

4. PRICING & MSRP POLICY

• Wholesale Pricing: All wholesale prices listed on our site are confidential. You agree not to share this information with third parties.

• MSRP/MAP: To protect the KanDy Coast brand and our retail partners, we recommend selling products at or above the Suggested Retail Price (SRP). We reserve the right to terminate accounts that sell our products at predatory or deep-discount pricing that damages the brand's value.

5. THIRD-PARTY MARKETPLACE RESTRICTION Retailers are permitted to sell KanDy Coast products on their own proprietary websites (e.g., yourboutique.com) and in their physical stores. You are strictly prohibited from selling our products on third-party marketplaces such as Amazon, eBay, Etsy, Walmart.com, or Poshmark without prior written consent. Violation of this policy will result in immediate account termination.

6. CANCELLATION & MODIFICATION Once an order has been placed and moved to "Processing" or "Production" (for custom items), it cannot be canceled or modified. Please review your order carefully before submitting.

7. SHIPPING & RISK OF LOSS All orders are shipped FOB (Free on Board) from our distribution center. This means that the risk of loss or damage passes to the Buyer once the carrier takes possession of the package. We are not responsible for carrier delays, lost packages, or customs duties for international orders.

8. INTELLECTUAL PROPERTY Approved retailers are granted a limited, non-exclusive license to use KanDy Coast product images and descriptions solely for the purpose of marketing and selling our products on their own channels. You may not claim ownership of the brand, logo, or intellectual property.

9. GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

10. CHANGES TO TERMS We reserve the right to update or modify these Terms of Service at any time without prior notice. Continued use of our wholesale portal constitutes acceptance of those changes.
